NOTICE OF MEETING

 AND PUBLIC HEARING

OF THE BOARD OF COMMISSIONERS

OF THE COUNTY OF DOUGLAS, 

IN THE STATE OF NEBRASKA

Notice is hereby given that the Board of Commissioners of The County of Douglas, in the State of Nebraska, (the “County”) will conduct a public hearing on September 15, 2026, at 9:00 a.m. at the Legislative Chambers of the Civic Center, 1819 Farnam Street, Omaha, Nebraska, concerning the issuance by the County, in accordance with Sections 13-1101 et seq., Reissue Revised Statutes of Nebraska, as amended, (the “Act”) of its Revenue Bonds (Outlook Properties, LLC Project), in the maximum aggregate principal amount of not to exceed $18,000,000 (in one or more series, the “Bonds”), for the benefit of Outlook Properties, LLC, a Nebraska limited liability company (the “Borrower”), that is wholly owned by Outlook-Nebraska, Inc., a Nebraska nonprofit corporation (“Outlook-Nebraska”). The Bonds are expected to be issued as “Qualified 501(c)(3) Bonds” pursuant to Section 145 of the Internal Revenue Code of 1986, as amended (the “Code”).

The proceeds of the Bonds will be loaned by the County to the Borrower pursuant to, and in furtherance of, the purposes of the Act, and used to (i) refinance taxable indebtedness that financed the purchase and/or construction and equipping of the Borrower’s manufacturing and warehouse facilities at approximately 4125 S.72nd Street, Omaha, Nebraska and (ii) finance a portion of the costs of constructing and equipping a new approximately 150,000-square-foot industrial and warehouse facility located at 6935 F Street, Omaha, Nebraska (collectively, the “Project”). The Project will be owned by the Borrower and a portion of the Project is expected to initially be leased to or operated by Goodwill Industries, Inc., a Nebraska nonprofit corporation, Outlook-Nebraska, Outlook Collaborative, a Nebraska nonprofit corporation, and Outlook Enrichment, a Nebraska nonprofit corporation.

Following such public hearing, the Board will consider for adoption a resolution granting public approval to such proposed issuance of the Bonds to finance the Project for the purpose of complying with Section 147(f) of the Code.

THE BONDS SHALL NEVER CONSTITUTE AN INDEBTEDNESS OF THE COUNTY WITHIN THE MEANING OF ANY STATE CONSTITUTIONAL PROVISION OR STATUTORY LIMITATION, SHALL NEVER CONSTITUTE NOR GIVE RISE TO A PECUNIARY LIABILITY OF THE COUNTY OR A CHARGE AGAINST ITS GENERAL CREDIT OR TAXING POWERS, AND NO TAX FUNDS WILL EVER BE USED TO PAY ANY PART THEREOF, SUCH BONDS AND THE INTEREST THEREON TO BE PAYABLE SOLELY FROM THE REVENUES DERIVED FROM THE LOAN AGREEMENT AMONG THE COUNTY, THE BORROWER AND KANSAS CITY FINANCIAL CORPORATION, AN AFFILIATE OF UMB BANK, N.A., RELATED TO THE BONDS AND THE PROJECT.

All interested persons are invited to present comments orally or in writing at the public hearing concerning the issuance of the Bonds and the Project.

OF DOUGLAS COUNTY, NEBRASKA

Notice is hereby given by the County of Douglas, Nebraska (the “County”) of a public hearing to be held at 9:00 a.m. on September 15, 2026, in the Legislative Chambers, Omaha Douglas Civic Center, 1819 Farnam Street, Omaha, Nebraska 68183, regarding the advisability of the proposed issuance by the Douglas County Housing Authority (the “Authority”) in one or more series pursuant to a plan of financing in accordance with Reissue Revised Statutes of Nebraska, Sections 71-1572 et seq., as amended, of its Multifamily Housing Revenue Bonds (Novella Senior Housing Project) Series 2026-A-1 and 2026-A-2 in an aggregate principal amount not exceeding $18,000,000 (collectively, the “Bonds”), the proceeds of which Bonds will be lent to Novella, LLC, a Nebraska limited liability company (the “Borrower”), for the purpose of financing the costs of (i) issuing the Bonds and (ii) the acquisition, construction and equipping of a multifamily housing project for seniors to be known as Novella Senior Housing (the “Project”) which will be located at 4809 Redman Avenue, Omaha, Nebraska 68104.

Following such public hearing, the Board of Commissioners of the County will consider for adoption a resolution granting public approval to such proposed issuance of the Bonds for the Project for the purpose of complying with Section 147(f) of the Internal Revenue Code of 1986, as amended. 

At the time and place fixed for the public hearing, all interested persons will be given an opportunity to express their views orally and in writing on the proposed issuance of the Bonds and the location and nature of the Project.

Persons wishing to make comments in writing about the proposed Bonds and Project may do so in advance of the commencement of the public hearing on September 15, 2026, to Douglas County, Nebraska, County Clerk, H08 Civic Center, Omaha, NE 68183.
